Billing
These Subscription / Order Terms govern subscriptions, orders, onboarding fees, included submissions, top-up submissions, billing, renewals, taxes, cancellation, refunds, payment failures, and related commercial terms for the Adsolutly Platform and Service.

These Subscription / Order Terms govern subscriptions, orders, onboarding fees, included submissions, top-up submissions, billing, renewals, taxes, cancellation, refunds, payment failures, and related commercial terms for the Adsolutly Platform and Service.
These Terms apply to business customers and form part of the contractual framework governing paid use of Adsolutly.
The Platform and Service are operated under the name Adsolutly.
Adsolutly is currently operated by Marcus Widen.

References to Adsolutly, we, us, or our in these Terms refer to Marcus Widen as the current legal operator of Adsolutly, unless otherwise stated.
Adsolutly is currently operated by Marcus Widen and is not a Swedish limited liability company (aktiebolag).
These Terms apply to paid subscriptions, onboarding fees, top-up purchases, billing events, renewals, cancellations, refunds, payment failures, and related orders for the Adsolutly Platform and Service.
These Terms should be read together with the applicable:
If documents contain conflicting provisions, the more specific provision governing the relevant subject matter applies unless a signed written agreement expressly states otherwise or mandatory law requires otherwise.

The Platform and paid Service are intended for Customers acting for business, professional, organisational, or commercial purposes.
By purchasing a subscription, onboarding service, top-up, or other paid Service, the Customer represents that it is acting primarily for purposes connected with its trade, business, profession, organisation, or commercial activity.
Adsolutly does not offer its paid Service as a consumer service.
If a transaction is nevertheless legally classified as a consumer transaction, mandatory consumer rights applicable to that transaction remain unaffected.
Adsolutly offers a recurring monthly subscription for access to review and verification services under the Global Standard for Responsible Advertising™.
Unless another price is stated in an applicable order form, checkout page, invoice, promotion, or written agreement, the standard commercial terms are:

Applicable taxes are handled under Section 10.
Each standard monthly subscription includes 1 Submission per billing period unless another quantity is stated in the applicable commercial terms.
Where supported by Adsolutly's billing system, Customers may purchase additional recurring quantity.
Each additional quantity unit may correspond to additional Submission capacity and additional recurring fees as stated before the applicable purchase or change.
Payment of a subscription, onboarding fee, top-up fee, or other charge does not guarantee that a Submission will be:
All Submissions remain subject to Adsolutly's review process and applicable terms.
Unless otherwise stated before purchase, a one-time onboarding fee of SEK 1,500 applies at signup.
The onboarding fee may cover:
The onboarding fee is normally charged once per Customer account unless another arrangement is expressly agreed.
Once onboarding work has begun or the onboarding service has otherwise been provided, the onboarding fee is non-refundable except where required by applicable law or expressly agreed otherwise in writing.
Included Submissions reset at the beginning of each billing period.
Included Submissions do not roll over into later billing periods unless expressly stated otherwise.
Unused included Submissions expire at the end of the applicable billing period.

Adsolutly may determine whether submitted material constitutes one Submission or multiple Submissions based on reasonable factors such as:
Any material limits or counting rules relevant to the purchase should be disclosed in applicable pricing, order, or service terms.
Customers may purchase additional one-time Submission capacity where offered.
Top-up Submissions are separate from the recurring subscription unless expressly stated otherwise.
The price, quantity, scope, and any applicable validity or expiry period for a top-up will be stated before purchase through checkout, the billing interface, an invoice, order form, or other written commercial terms.
A top-up is non-refundable once used, submitted for processing, or otherwise consumed, except where required by applicable law or expressly agreed otherwise in writing.
Unused top-ups remain subject to the specific terms disclosed at purchase.
A top-up expires only where an expiry or validity period was disclosed as part of the applicable purchase terms.
If no expiry period was stated at purchase, Adsolutly will not later impose an expiry period solely through an internal policy change.
Top-ups are not transferable, resellable, or redeemable for cash unless expressly agreed otherwise in writing.
Subscriptions are billed monthly in advance unless another billing arrangement is expressly stated.
Payments may be processed through Stripe or another payment provider supported by Adsolutly.
By purchasing a paid Service, the Customer authorises Adsolutly and its payment provider to charge the Customer's designated payment method for amounts properly due, including:
The Customer must provide accurate and current:
where required.
Invoices, receipts, payment confirmations, notices, and other billing documentation may be provided electronically.
Where Stripe is used, payment processing may also be subject to Stripe's applicable terms, privacy notices, and payment-network requirements.
Stripe and other payment providers operate their own payment infrastructure and may independently process information or take actions required by their systems, agreements, fraud controls, or applicable law.
A Customer may be required to provide information or accept payment-provider terms necessary to use specific payment functionality.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
Prices may be displayed exclusive or inclusive of VAT or other taxes as stated in the applicable pricing, checkout page, invoice, or order terms.
VAT or other applicable taxes may be:
The treatment depends on factors including the Customer's location, business status, tax registration, and the nature of the Service.
The Customer must provide accurate business, billing, and tax information where requested.
Where a VAT identification number or other documentation is needed to determine applicable tax treatment, the Customer must provide valid information.
Adsolutly may correct tax treatment where reasonably necessary to comply with applicable tax or invoicing requirements.
Recurring subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
The renewal amount may reflect:
By purchasing a recurring subscription, the Customer authorises recurring charges until cancellation becomes effective.
Where supported, Customers may increase or decrease subscription quantity or change available plans.
Changes may take effect immediately or from the next billing period depending on the applicable billing configuration and commercial terms.
Prorated charges, credits, immediate charges, or adjusted renewal amounts may apply where disclosed by the billing system or applicable agreement.
Adsolutly may reasonably restrict changes where there is:
Adsolutly may offer:
Each offer is governed by the terms stated when the offer is made.
Where disclosed as part of the offer, promotional pricing may revert to the then-applicable standard or agreed recurring price after the promotional period ends.
Adsolutly may modify or discontinue promotional offers for future purchases.
Customers must not create or use multiple accounts, related entities, affiliates, or other arrangements primarily to circumvent restrictions on one-time or limited promotional offers.
A Customer may cancel through the billing portal, where available, or by contacting:

Unless otherwise stated in the applicable commercial terms, cancellation takes effect at the end of the current paid billing period.
To prevent a future renewal charge, cancellation must be completed before the renewal charge is processed.
Customers submitting cancellation requests by email should allow sufficient time for the request to be received and processed before renewal.
Cancellation does not automatically cancel or reverse:
Unless otherwise stated, paid subscription access continues through the current paid billing period and may end when that period expires.

Subject to Section 15.1, amounts that are generally non-refundable once incurred include:
Adsolutly may voluntarily provide:
A voluntary adjustment does not create an obligation to provide the same treatment in another case.
A Submission being:
does not by itself create a refund right.
The Customer purchases access to Adsolutly's review and verification Service, not a guaranteed approval outcome.
Rejected Submissions remain subject to applicable intellectual property, usage, confidentiality, and contractual restrictions contained in the Intellectual Property Agreement and other applicable terms.
Payment does not by itself grant any right to publish, distribute, exploit, resubmit, or otherwise use material contrary to those restrictions.
A Submission may be classified as:
Adsolutly may pause, refuse, or discontinue review where permitted by the applicable agreement or law.
Additional review cycles may be required where edits, clarification, substantiation, or additional materials are needed.
Review times may vary depending on factors such as:
Unless expressly guaranteed in writing, estimated review times are not fixed completion guarantees.
If a payment attempt fails, Adsolutly or its payment provider may retry the payment where permitted.
Where payment remains outstanding, Adsolutly may, subject to the applicable agreement and law:
Suspension, cancellation, or termination does not extinguish amounts that became due before the applicable effective date.
If a Customer believes a charge is incorrect, the Customer should contact:

before initiating a payment reversal or chargeback where reasonably possible.
Nothing in these Terms prevents a Customer from exercising rights available through its bank, card issuer, payment provider, or applicable law.
Where a payment dispute creates a reasonable concern that amounts properly due may not be recoverable, Adsolutly may temporarily restrict affected paid Services while the matter is investigated, where permitted by contract and law.
Where a payment reversal or chargeback is fraudulent, abusive, or initiated in breach of an applicable agreement, Adsolutly may pursue amounts and reasonable costs lawfully recoverable under applicable law and contract.
Adsolutly does not impose penalties merely because a Customer exercises a legitimate payment-dispute right.
Adsolutly may suspend or terminate access to paid Services where permitted under the Terms of Service or another applicable agreement, including in cases involving:
Suspension or termination does not relieve the Customer of payment obligations already incurred.
Adsolutly may retain records relating to:
Records may be retained where reasonably necessary for tax, accounting, audit, fraud prevention, legal compliance, or dispute-resolution purposes.
Personal data contained in such records is handled in accordance with Adsolutly's Privacy Policy and applicable law.
Adsolutly may change pricing, billing structures, Submission limits, or plan features for future purchases.
Material changes affecting an existing recurring subscription will apply from a future billing or renewal period after any notice required by the applicable agreement or law.
Adsolutly may correct obvious pricing, tax, or billing errors.
If an error materially affects a pending purchase, the Customer may be asked to confirm the corrected terms before the transaction proceeds where appropriate.
These Terms are written in English.
If a translation is provided, the English version prevails unless mandatory law requires otherwise or the applicable written agreement expressly states otherwise.
These Terms are governed by Swedish law.
Disputes are handled in accordance with the dispute-resolution provisions contained in the Terms of Service or other applicable written agreement.
Nothing in this section overrides mandatory law that applies irrespective of a contractual choice of law.
