This Policy should be read together with the applicable:
If documents contain conflicting provisions, the more specific provision governing the relevant subject matter applies unless an applicable agreement expressly establishes another order of precedence or mandatory law requires otherwise.
In general:
| Document | Principal subject matter |
|---|---|
| Order form, invoice, or signed commercial agreement | Specific commercial terms stated for the transaction |
| Terms of Service | General service and contractual terms |
| Intellectual Property Agreement | Intellectual property ownership, licences, and restrictions |
| Subscription / Order Terms | Subscription structure, pricing, billing, included submissions, and top-ups |
| Refund and Cancellation Policy | Cancellation, refunds, renewals, payment disputes, and related billing matters |
Adsolutly's paid services are intended for customers acting for business, professional, organisational, or commercial purposes.
By purchasing a subscription, onboarding service, top-up submission, or other paid Service, the Customer represents that it is acting primarily for purposes connected with its trade, business, profession, organisation, or commercial activity.
Adsolutly does not offer its paid Services as consumer services.
If a transaction is nevertheless legally classified as a consumer transaction despite this restriction, any mandatory consumer rights applicable to that transaction remain unaffected.
Except where required by applicable law, expressly stated in an applicable order or agreement, or expressly approved by Adsolutly in writing, fees paid or payable to Adsolutly are non-refundable.
Payment for the Service does not guarantee that a Submission will be:
A Submission being Rejected, Returned for Edits, delayed, disputed, revoked, suspended, or not accepted by a third party does not by itself create a refund right.
Payment does not create any right to publish, distribute, exploit, or otherwise use material in breach of Adsolutly's applicable Intellectual Property Agreement, EAS Usage Guidelines, Terms of Service, or other applicable agreement.
A Customer may cancel a subscription through the billing portal, where available, or by contacting:
legal@adsolutly.com
Unless otherwise stated in the applicable checkout terms, billing portal, order form, invoice, or written agreement, cancellation takes effect at the end of the current paid billing period.
To prevent the next recurring charge, cancellation must be completed before the next scheduled renewal charge is processed.
Customers are responsible for allowing sufficient time for cancellation requests submitted by email to be received and processed before renewal.
Cancellation does not automatically cancel or reverse:
Unless otherwise stated, paid subscription access continues until the end of the current paid billing period.
After that period ends, paid functionality may be restricted or discontinued unless another applicable paid arrangement remains active.
Recurring subscriptions automatically renew for successive billing periods unless cancelled before the applicable renewal.
A renewal charge may reflect:
By purchasing a recurring subscription, the Customer authorises Adsolutly and its payment provider to charge the designated payment method for recurring amounts due under the subscription until cancellation becomes effective.
A renewal that has already been charged is not automatically refundable merely because the Customer did not cancel before renewal.
Any refund is subject to this Policy, the applicable agreement, and mandatory law.
Unless required by applicable law or expressly agreed otherwise in writing, the following are generally non-refundable once incurred:
Adsolutly may voluntarily grant a partial refund, service credit, extension, or other adjustment.
A voluntary adjustment in one case does not create an obligation to provide the same treatment in another case.
Any onboarding fee will be stated at checkout, in an order form, invoice, subscription terms, or other applicable commercial terms before purchase.
An onboarding fee may cover activities such as:
Once onboarding work has begun or the onboarding service has otherwise been provided, the applicable onboarding fee is non-refundable except where required by law or expressly agreed otherwise in writing.
The number of included Submissions for a subscription is stated in the applicable pricing, order, checkout terms, invoice, or written agreement.
Unless otherwise stated, included Submissions are allocated for the applicable billing period.
Included Submissions do not roll over into later billing periods unless expressly stated otherwise.
Unused included Submissions expire at the end of the applicable billing period unless the applicable commercial terms state otherwise.
Unused included Submissions are not:
unless expressly agreed otherwise in writing.
The applicable Subscription / Order Terms may define how Adsolutly determines whether material constitutes one Submission or multiple Submissions.
Relevant factors may include:
Customers may be able to purchase additional one-time Submissions or other review capacity.
Top-ups are separate purchases from the recurring subscription unless expressly stated otherwise.
The price, quantity, scope, and any applicable validity or expiry period for a top-up will be stated before purchase through checkout, the billing interface, an invoice, an order form, or another applicable written agreement.
A purchased top-up is non-refundable once used, submitted for processing, or otherwise consumed, except where required by applicable law or expressly agreed otherwise in writing.
Unused top-ups are otherwise subject to the specific commercial terms presented at purchase.
A top-up expires only where an expiry or validity period was disclosed as part of the applicable purchase terms.
If no expiry period is stated, the top-up does not expire merely because a later internal validity period is introduced.
Top-ups are not transferable, resellable, or redeemable for cash unless expressly agreed otherwise in writing.
A Customer purchases a review, assessment, verification process, or related Service and not a guaranteed approval result.
No refund arises merely because a Submission is:
Nothing in this Policy prevents a Customer from asserting rights arising under applicable law or contract where Adsolutly fails to provide a Service that Adsolutly was contractually required to provide.
Where supported, Customers may increase or decrease their subscription plan, quantity, or other billing configuration.
A change may take effect immediately or from the next billing period depending on the applicable commercial terms and billing configuration.
Prorated charges, credits, immediate charges, or adjusted renewal amounts may apply where disclosed through the applicable billing system or agreement.
Adsolutly may restrict changes where reasonably necessary due to:
A plan or quantity change does not automatically create a refund right.
Any credit or refund resulting from a downgrade or other change will be determined by the applicable commercial terms and mandatory law.
If a payment fails, Adsolutly or its payment provider may retry the payment where permitted by the payment arrangement.
Where an amount remains unpaid, Adsolutly may, subject to the applicable agreement and law:
Suspension, cancellation, or termination does not automatically extinguish amounts that became due before the effective date of suspension, cancellation, or termination.
Reactivation may require:
If a Customer believes a charge is incorrect, the Customer should contact:
legal@adsolutly.com
before initiating a payment reversal or chargeback where reasonably possible.
Nothing in this Policy prevents a Customer from exercising rights available through its bank, card issuer, payment provider, or applicable law.
A billing dispute should include, where available:
Where a payment dispute or chargeback creates a reasonable concern that amounts due to Adsolutly may not be recoverable, Adsolutly may temporarily restrict affected paid Services while the dispute is investigated, where permitted by the applicable agreement and law.
Where a payment reversal or chargeback is fraudulent, abusive, or initiated in breach of an applicable agreement, Adsolutly may pursue amounts and reasonable costs lawfully recoverable under the applicable agreement and law.
Adsolutly does not impose penalties or chargeback fees merely because a Customer exercised a legitimate payment-dispute right.
Prices may be stated exclusive or inclusive of VAT or other taxes as indicated in the applicable pricing, checkout, invoice, or order terms.
VAT or other taxes may be added, charged, accounted for, or treated under applicable tax law depending on:
Customers must provide accurate billing, business, and tax information where requested.
Where reverse-charge treatment, exemption, or another tax treatment applies, the Customer may be required to provide a valid VAT identification number or other supporting information.
Where a refund or credit is issued, related VAT or other tax adjustments will be handled in accordance with applicable tax and invoicing requirements.
Suspension or termination resulting from breach, misuse, non-payment, fraud, circumvention, or another contractual enforcement ground does not automatically create a refund right.
Cancellation, suspension, or termination does not affect obligations that are intended by their nature or express terms to survive, including applicable:
Refund requests must be submitted to:
legal@adsolutly.com
Adsolutly may consider:
Where a refund is not legally or contractually required, Adsolutly may decide whether to provide:
Adsolutly may update this Policy from time to time.
Changes may reflect:
The Last updated date above identifies the most recent revision.
A change to this Policy does not retroactively alter a completed transaction or existing contractual right unless permitted by the applicable agreement and law.
Where an update materially affects an ongoing subscription, Adsolutly will provide notice where required by the applicable agreement or law.
